This Affiliate Agreement ("Agreement") is entered into by and between Kickass Online Ltd ("Company") and {name-1}, the Affiliate ("Affiliate") (collectively, the "Parties").

1. Definitions
a. "Affiliate" means an individual or entity that promotes the Company's services and receives a commission for referred clients.
b. "Commission" means the amount payable to the Affiliate for each Qualified Purchase.
c. "Qualified Purchase" means a sale of the Company's services to a referred client who makes a minimum deposit of £500.00.

2. Enrollment and Affiliate Restrictions
a. To become an Affiliate, applicants must submit the provided form and complete an onboarding process, including a meeting with the Company's director.
b. Affiliates are prohibited from using coupon sites to promote the Company's services.
c. Affiliates may use paid search advertising and must provide their UTM parameters for proper attribution.
d. Affiliates must use only white hat and ethical promotional methods.

3. Commission Structure
a. Affiliates will receive a 5% commission on the contract value when the referred client pays the deposit. A second 5% commission will be paid upon project completion.
b. Alternatively, Affiliates can opt for a one-time 6.5% commission on the contract value, paid after the deposit is received.
c. Affiliates will receive an ongoing 5% commission on any new business from the referred client for as long as the client remains a customer of the Company.
d. If an Affiliate refers more than 2 clients in a single month, they will receive a £50 bonus per additional referral.

Example:
If an affiliate refers a client who pays £5,000 for a website and chooses the split payment option:
- The affiliate would receive 5% of £5,000 (£250) at the end of the following calendar month after the deposit is paid.
- When the project closes, the affiliate will receive another 5% of £5,000 (£250).
- If the same client pays £1,500 per month for recurring services, the affiliate would automatically receive 5% of £1,500 (£75) each month for the ongoing business.
- If the affiliate refers 3 clients in a month, they would receive an additional £50 bonus for the third referral.

If the affiliate chooses the one-time compensation option:
- They would receive 6.5% of £5,000 (£325) at the end of the following calendar month after the deposit is paid.
- For the recurring £1,500 per month, the affiliate would still receive the 5% commission (£75) each month.
- If the affiliate refers 3 clients in a month, they would receive an additional £50 bonus for the third referral.

4. Tracking and Payment
a. Affiliate sales will be tracked using a 30-day cookie duration, referral code or signed agreements.
b. Commissions will be paid at the end of the following calendar month after the client's deposit has been received.
c. Multiple referrals within a month will be collated into a single commission payment.
d. No minimum threshold for bank transfer or PayPal payments. A minimum of £100 is required for international bank wires due to bank fees.

5. Termination
a. Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
b. Upon termination, the Affiliate will cease all promotional activities and remove any Company-related content from their website(s) and marketing materials.

6. Intellectual Property
a. The Company grants the Affiliate a limited, non-exclusive, non-transferable license to use its trademarks and logos solely for the purpose of promoting the Company's services under this Agreement.
b. The Affiliate agrees not to use the Company's intellectual property in any manner that may damage or tarnish the Company's reputation or goodwill.

7. Confidentiality
a. The Affiliate agrees to keep confidential any proprietary information shared by the Company during the term of this Agreement and for a period of 3 years after termination.

8. Indemnification
a. The Affiliate agrees to indemnify and hold harmless the Company from any claims, damages, or expenses arising from the Affiliate's promotional activities or violation of this Agreement.

9. Disputes and Governing Law
a. Any disputes arising from this Agreement shall be submitted in writing to info@kickassonline.com.
b. This Agreement shall be governed by and construed in accordance with the laws of England, and any disputes will be resolved in the English courts.

10. Modifications
a. The Company reserves the right to modify this Agreement at any time by providing written notice to the Affiliate at least 30 days prior to the change taking effect.

By participating in the Kickass Online Ltd Affiliate Program, the Affiliate agrees to be bound by the terms and conditions outlined in this Agreement.
